Terms of Service

These Terms of Service ("Terms") govern your access to and use of Pinguin, a Slack application operated by Pinguin("we", "us", or "our").
By installing, accessing, or using Pinguin (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. The Service
Pinguin is a Slack app that enables users to:
- Send broadcast messages to Slack channels
- Create audience lists and sender profiles
- Schedule broadcasts for future delivery
- View delivery and engagement analytics
- Edit sent broadcasts across delivered channels
The Service integrates with Slack and requires a compatible Slack workspace.

2. Eligibility
You must:
- Be at least 16 years old
- Have a valid Slack account and workspace where you are permitted to install apps
- Comply with these Terms, Slack's terms, and applicable laws
If your workspace administrator restricts app installation, you may not use the Service unless authorized.
3. Account and installation
3.1 Installation
Installing Pinguin authorizes us to access your Slack workspace according to the permissions shown during installation. You are responsible for reviewing those permissions before installing.
3.2 Workspace authorization
If you install Pinguin for a workspace, you represent that you have the authority to do so on behalf of that workspace and its members.
3.3 Uninstalling
You may uninstall Pinguin at any time through Slack's app management settings. Uninstalling revokes the bot token but may not automatically delete all stored Service data. See our Privacy Policy for retention and deletion details.
4. Acceptable use
You agree not to use the Service to:
- Violate any law or regulation
- Violate Slack's Acceptable Use Policy or Terms of Service (see slack.com/terms-of-service)
- Send spam, unsolicited bulk messages, or deceptive content
- Harass, threaten, or harm others
- Impersonate another person or entity without authorization
- Send content you do not have the right to share
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service
You are solely responsible for the content of broadcasts you send and for ensuring you have permission to notify recipients (including use of @here, @channel, or @everyone).
5. Your content
5.1 Ownership
You retain ownership of content you create and send through the Service ("Your Content").
5.2 License to us
You grant us a limited, non-exclusive license to host, store, process, transmit, and display Your Content solely as necessary to operate and provide the Service.
5.3 Responsibility
You are responsible for Your Content and for obtaining any rights or consents required to send it. We do not endorse Your Content and are not responsible for it.
6. Service availability
We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to:
- Maintenance or updates
- Failures of Slack, Fly.io, or other third-party services
- Events outside our reasonable control
We may modify, suspend, or discontinue any part of the Service at any time.
7. Fees
Pinguin is currently offered free of charge.
If we introduce paid plans in the future, we will provide notice and updated terms before charging you.
8. Third-party services
The Service depends on third-party platforms, including:
- Slack: messaging platform and authentication
- Fly.io: hosting infrastructure
Your use of those services is governed by their own terms and policies. We are not responsible for third-party services.
9. Privacy
Our Privacy Policy explains how we collect, use, and protect information. By using the Service, you also agree to our Privacy Policy.
10. Intellectual property
The Service, including its name, branding, software, and documentation (excluding Your Content), is owned by Pinguin and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT MESSAGES WILL BE DELIVERED TO ALL INTENDED CHANNELS OR RECIPIENTS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
- OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED £100 GBP OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Pinguin and its operators from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your Content
- Your violation of these Terms or applicable law
14. Termination
We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms or pose a risk to the Service or others.
Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive (including disclaimers, limitations of liability, and indemnification) will survive termination.
15. Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Courts in England and Wales will have exclusive jurisdiction, except where prohibited by law.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
